  • Not disclose, share, or distribute Confidential Information to any third parties without the prior written consent of the Company.
  • Use the Confidential Information solely for the purpose of engaging with the platform and its services.
  • Protect the Confidential Information with reasonable care to prevent unauthorized access or use.

4. Exclusions from Confidential Information

Confidential Information does not include:

  • Information that was already publicly available at the time of disclosure or becomes publicly available without your breach of this Agreement.
  • Information that was independently developed by you without the use of the Confidential Information.
  • Information that is disclosed to you by a third party without an obligation of confidentiality.

5. Duration of Confidentiality

The confidentiality obligations under this Agreement will remain in effect as long as you have access to the platform and continue to use the services provided. Even after you cease using the platform, you will remain obligated to keep any Confidential Information shared during your use of the platform confidential.

6. Return or Destruction of Confidential Information

Upon request by the Company, you agree to return or destroy all Confidential Information in your possession.

7. No License

Nothing in this Agreement grants you any intellectual property rights to the Confidential Information shared by the Company. The information remains the exclusive property of the Company.

8. No Obligation to Enter into Further Agreements

This Agreement does not obligate either party to enter into any further agreements, business relationships, or transactions. Either party may terminate access to the platform at any time.

9. Breach and Remedies

If you breach any of the terms of this Agreement, the Company may seek remedies, including but not limited to legal action, damages, and injunctive relief, to prevent further unauthorized use or disclosure of the Confidential Information.

10. Governing Law

This Agreement will be governed by the laws of [Country/State], without regard to its conflict of laws principles.

11. Amendments

The Company reserves the right to amend this Agreement at any time. Any changes will be posted on the platform, and the updated Agreement will become effective as of the date it is posted.

12. Miscellaneous

  • Entire Agreement: This Agreement represents the entire understanding between the parties regarding confidentiality and supersedes all prior agreements or understandings.
  • Severability: If any provision of this Agreement is deemed invalid or unenforceable, the remaining provisions will remain in full force and effect.
